With an extensive experience of over 15 years, Mohit is an integral part of the Corporate and Regulatory Laws practice at the Firm. He specializes in corporate and financial transactions, with a particular focus on mergers & acquisitions, joint ventures, cross-border transactions, transaction structuring, corporate finance, investments and FDI. He also advises clients on general corporate matters.

At the Firm, Mohit advises leading Indian companies, foreign companies and Indian Government authorities. He counsels clients' from across sectors including retail, media, real estate, telecom, infrastructure, hospitality, power, manufacturing, education, and information technology. A significant part of his practice also involves catering to HNIs and board of directors advising them on issues pertaining to Corporate Governance and compliances.

Before moving to Legal Orbit, he was working as a partner with Clasis Law. He has worked with leading Indian law firms including Luthra & Luthra and Fox Mandal in the past.

Mohit is an alumnus of Delhi University and is perceived as a valued adviser on sensitive matters by clients for his deep domain knowledge and understanding.

Broad Experience:

Inditex S.A.: Advised Inditex S.A., in relation to its Indian joint venture with Trent Limited, a TATA group company, to set up single brand company under the brand Zara. As a part of transaction, assisted Inditex in its transactional documents and closing requirements.
Hilton: Assisted Hilton in relation to management and technical services agreements in India and Nepal. Apart from preparation, negotiation and amendments in the management and technical services agreements, also conducted limited title search for the relevant properties of Indian owner companies. For the properties situated in Nepal, assisted Hilton in obtaining title search reports from local Nepalese lawyers.
Alcatel Lucent: Advised Alcatel Lucent on separate transactions in relation to setting up of joint venture (for managing telecom networks in India) transactions, first with Reliance Communications Infrastructure Limited and then with Bharti Airtel Limited. Subsequently, also assisted Alcatel Lucent in making exit from both the joint ventures. As part of the transactions, assisted in negotiations, finalization and closings under the joint venture agreements and the share purchase agreements (at the time of exit). Further, have advised Alcatel Lucent on its India related day to day general law queries.
Marriott: Advised Marriott in relation to key money transaction with an Indian hotel owner. Apart from drafting and negotiation on the transaction documents, the transaction also involved compliances under foreign exchange regulations. Also, advised Marriott in relation to their management agreements in India and Nepal, land due diligences and other regulatory matters.
Investment & exit Advise in the Indian telecommunications sector: Advised a UAE based conglomerate in connection with its investment in an Indian telecommunication company involving advice on its disputed exit rights under the shareholders agreement, further inter se agreements amongst foreign shareholders and the Indian FDI policy.
H.I.S. Co., Ltd., Japan: Have assited HIS Japan in its investment in an Indian subsidiary of Makemytrip Limited. Scope of work included structuring of investment transaction; drafting, reviewing, negoatiaion and finalization of the transacton documents and assistance in successful closing.
Manuli Rubber Industries: Assisted Manuli Rubber Industries in incorporation of its Indian subsidiary followed by due diligence of proposed land for its manufacturing unitin the State of Tamil Nadu.
IDIADA SA: Advised IDIADA SA, a Spanish project consulting company, in connection with its project consultancy agreements with Natrip Implementation Society, a government society set up to operate the National Automotive Testing and R&D Infrastructure Project.
Carlson Group - Advised Carlson Group in relation to their Indian subsidiaries corporate affairs and employment related matters.
Fortune Brands - Advised Fortune Brands in connection with the acquisition of Indian assets of Allied Domecq Group UK, by Fortune Brands along with Pernord Ricard. As part of the transaction, assisted Fortune Brands in division of an existing plant and subsequent sale of the hived off operational plant to an Indian subsidiary of Pernod Ricard in the State of Rajasthan, India.
Hareon Solar Group, China: Have been assisting Hareon Solar Group, a leading international solar cell and module producer, in its India investments including two joint venture transactions with Indian corporate houses in India and acquisition of some projects by acquiring stakes in SPVs. Have also been assisting the Indian subsidiary of Hareon Solar group in its day to day corporate and management matters including employment and labour related compliance matters.
OC Oerlikon: Advised the Swiss company engaged in manufacturing of textile machinery across the world, in relation to divestment of its shares/business in four Indian companies as part of global transaction.
Axel Springer - Advised Axel Springer, a leading European print media sector company in relation to setting up of a joint venture with an affiliate company of India Today Group, a leading Indian group in the print & media sector.
Ascott Group: Advised Ascott Group, Singapore in relation to its joint venture (including setting up & subsequently exit from the same by way of acquisition of Indian joint venture partners' stake) in India for setting up, managing and operating service apartments through SPVs. As part of the transactions, assisted Ascott in negotiations, finalization and closings under the joint venture agreements and the master sale and purchase agreement (at the time of joint venture termination). Further, have been involved on regular basis in undertaking land due diligences, execution of sale deeds with respect to the proposed service apartment sites in the States of Karnataka, Tamil Nadu, Gujarat and Andhra Pradesh.
Renold Plc M&A - Advised Renold Plc, a leading UK manufacturing company in their acquisition of an industrial chains manufacturing facility as a going concern from L G Balakrishnan & Bros Ltd., an Indian listed company. As part of the transaction, assisted Renold Plc in undertaking land due diligence of an industrial unit in the State of Tamil Nadu, India.
Issuance of commercial mortgage backed securities: Assisted a leading real estate group in issuance of secured non-convertible debentures via CMBS (Commercial Mortgage Backed Security) route. The transaction involved issuance of secured NCDs by a group company primary security of an operational mall and its receivables.
