With two decades of experience, Neelam specializes in M&A, Infrastructure and General Corporate advisory. She heads the Corporate practice in the firm.

She started her career in 2000. Having worked with some of the leading law firms including Luthra & Luthra Law offices (now L&L Partners), she went on to join IBM India as a Contracts & Negotiation Specialist in their Legal Department, before setting up Legal Orbit in 2011.

Neelam acts as a strategic advisor to senior management/ board of directors of various Companies including MNCs and supports them in their strategic decisions of restructuring, business diversifications and expansions in India and abroad.

Neelam's skills set includes a deep transactional knowledge as well as significant industry expertise across industries such as diverse as power, technology (product as well as IT enabled services), oil and gas, mining, engineering, infrastructure and financial services combined with her distinguished negotiation skills.

In addition to this, she is a Charter Member of TiE (one of the largest entrepreneurship organizations of the world). She mentors various start-ups and provides bundled services in shaping their business ideas in the existing legal regime, structuring their business operations in most optimal manner in compliance with applicable laws, preparing them for fund raising, protecting their intellectual property rights and so on. She herself, has had a start-up entrepreneur journey and hence, understands the teething problems of founders.

An alumnus of Delhi University, Neelam is a member at the Bar Council of India and Delhi High Court Bar Association. She provides professional, efficient and pragmatic solutions to all her clients and has represented around 100 + Clients ranging from MNCs to HNIs in various industries. Her profound understanding, dedication, and command of law are well recognized by her clients.

Some of Her select Key Matter Experience Includes:

Advising an overseas HNI in its investment in a private unit trust of Singapore having African Opportunities Fund. The scope of work involves negotiation and finalisation of term sheet, subscription agreement and the rights of the investor under the trust deed.
Advising an investor in a high growth digital and artificial intelligence company based out of Texas, US.
Assisted a Chinese fund Kuan Capital, in setting up a Africa based fund for infrastructure projects in Africa continent. The scope of work included setting up of an exempted limited partnership under the laws of Cayman Islands with general partner and initial limited partner, the drafting, negotiation and finalisation of partnership agreement.
Assisted a Dubai based investment company Lord of Seven Hills in making its investments in a China based fund Kuan Capital. The scope of work included drafting, negotiation and finalisation of transaction documents including subscription agreement and shareholders agreement between the investor and the holding company of the fund.
Assisted a Dubai based investment company Lord of Seven Hills in making its investments in a US fund Bold Capital Partners. The scope of work included drafting, negotiation and finalisation of transaction documents including the Limited Partnership Agreement between the general partners, initial limited partners and the investor as a new limited partner.
Successfully concluded Series E investment transactions of Power2SME Pvt Ltd., India's largest online B2B trading company. Have also led and successfully concluded Series A, Series B, Series C, Series D and series D1, D2 and D3 investment transactions, recently. Her team is also involved in providing general corporate advise to Power2SME Pvt Ltd, in its corporate and other regulatory compliances including Companies Act, labour laws, foreign exchange laws and the issues under the Contract Act. Neelam is also advising promoters group in formulating business strategies for company's growth and expansion plans.
Represented Motif India Infotech Private Limited, one of the top 100 global outsourcing service provider, as India counsel in the acquisition transaction of majority stakes in its parent company Motif Inc. in US by TeleTech Services Corporation, Group Company of TeleTech Holdings, a NASDAQ listed company.
Successfully lead and concluded the two private equity investment transactions in Ison group's flagship company (having 33 downstream operational companies in Africa continent) by US and USE based private equity funds. Ison group is Africa's one of the largest IT and ITES provider group having presence in 25 countries of Africa and she has been involved in advising the group and the promoters group in day to day matters as well as on strategic and growth matters.
Advised Nouvelle Gabon Mining, a joint venture mining company of Government of Gabon, in its expansion project. Have also been advising NGM in advising, reviewing, negotiating and finalising the manganese ore supply arrangements globally.
Assisted Azimut Energy Services JSC (AES), which is the largest dedicated company in Kazakhstan providing integrated geological and geophysical services in oil and mineral exploration for national and international businesses, in executing and implementing its seismic services contract entered into with a leading oil and gas industry company of India market.
Assisting Hareon Solar Group, a leading international solar cell and module producer, in its India investments including two joint venture transactions with Indian corporate houses in India and acquisition of some projects by acquiring stakes in SPVs. Have also been assisting the Indian subsidiary of Hareon Solar group in its day to day corporate and management matters including employment and labour related compliance matters.
Advised a Luxumberg based company iP2 Entertainment, holding family based entertainment centre's license from MARVEL, in exploring the setting up of such entertainment centres in India. Scope of work involved advising on formulation of business strategies, business plan and dealing with DLF on renting out of the space on revenue sharing basis.
Successfully concluded seed round and Series A, Series A1 and Series A2 investment transactions of Asian Teaxpress Pte. Ltd., a Singapore based company engaged in online retail and wholesale online trading of tea; technology and logistics services for online retail of tea; and sourcing and blending tea to support the online retail of tea. Advising "Zamil Infra Private Limited" in its business contracts, customer contracts, vendor contracts, strategic alliance agreements, reseller/partner agreements and teaming agreements etc.
Advised in relation to the transfer of technology from CresTech Software Systems Pvt. Ltd., an Indian company involved in providing testing solutions, to its promoters in India and outside India.
Successfully closed an acquisition transaction of Smart Software Testing Solutions Inc., a US based company where it has acquired the technology from a Bangalore based Indian company. The scope of work involved structuring of the technology transfer transaction, assignments of patent applications, consultancy agreements with the promoters.
